Welcome to Midknight Studio Labs. These Terms and Conditions (the “Terms”) apply to our website, mobile games, applications, downloadable content, and related services (collectively, the “Services”), including Catmint Cove, Side A: Your Cassette, and future projects released by Midknight Studio Labs on Google Play, the Apple App Store, or other supported platforms.
Midknight Studio Labs is an independent creative studio based in the Philippines. In these Terms, “we,” “us,” and “our” refer to Midknight Studio Labs, operated by Carlos Gotiong. By accessing or using our Services, you agree to these Terms. If you do not agree, please do not use the Services. Additional terms displayed for a specific app or feature may also apply.
1. Eligibility and responsible use
You must comply with the laws that apply to you and any age restrictions, parental-consent requirements, and content ratings shown for the app in your region. If you are a parent or guardian, you are responsible for supervising a minor's use and purchases to the extent permitted by law. Do not use our Services for unlawful, harmful, fraudulent, or abusive activities.
2. License to use our apps
Subject to these Terms and any applicable app-store license, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to download, install, and use our apps for their intended purposes on devices you own or control. Our apps are licensed, not sold. This license does not transfer ownership of our code, art, music, designs, names, or other intellectual property.
You may not copy, redistribute, resell, sublicense, exploit, modify, reverse engineer, interfere with, or bypass the security of our Services except where expressly permitted by applicable law or an applicable open-source license. You must also comply with the terms of your device, app store, and connected services.
3. Our projects and app-specific features
Catmint Cove. Catmint Cove is a cozy, single-player cat sanctuary game. Progress may be stored locally on your device. Optional online features, including Cove Friends and cloud backups where available, may use a guest identity or online storage. Features, game balance, availability, and the appearance of in-game items may change with updates. If you do not enable a backup, local progress could be lost when you uninstall the app, clear storage, change devices, or experience device failure.
Side A: Your Cassette. Side A is a cassette-inspired media companion, not a music streaming provider. On supported Apple devices, certain functions depend on access to Apple Music and any required permissions or eligible music service. On supported Android devices, media-session features may depend on optional notification access and compatibility with third-party media players. We do not supply music subscriptions or promise compatibility with every device, player, track, or playback feature. Music rights and service availability remain with their respective owners and providers.
Other and future projects. These Terms also apply to future apps and games we publish under Midknight Studio Labs unless a project provides separate terms. Specific app-store descriptions and in-app disclosures explain the features available in each release; planned or advertised features are not guarantees of future availability.
4. Purchases, paid apps, virtual goods, and subscriptions
Some Services may offer paid downloads, optional in-app purchases, cosmetic items, premium features, or subscriptions. Pricing, currency, taxes, billing frequency, and purchase details are presented by the applicable store before you confirm a transaction. Purchases through Apple or Google are processed by that store, and their payment, cancellation, and refund processes apply, subject to your mandatory consumer rights.
Unless an offer expressly states otherwise, digital items and in-game currency (if introduced) are licensed for use within the applicable app, have no cash value, cannot be redeemed for money, and are not transferable outside features we expressly provide. We may modify or discontinue virtual items or features when reasonably necessary, subject to applicable law and any required remedies.
If an app offers an auto-renewing subscription, its price and renewal period will be shown before purchase. You can manage or cancel it through your Apple or Google account. Uninstalling an app does not itself cancel a subscription. To avoid a further charge, cancel in accordance with the store's applicable deadline. Any refund request should be directed to the store that processed the purchase, or to us if the store directs you to the developer.
5. Accounts, guest identities, and saved progress
Some features may provide a local profile, guest identity, friend code, or cloud save. Keep your devices and any recovery information secure; do not share credentials or recovery keys. You are responsible for activity under your account or guest identity to the extent permitted by law. We may restrict access to online features if necessary to prevent abuse, protect other users, or comply with law.
Local data may not be recoverable after deletion or device loss. Cloud restoration depends on availability, compatibility, and the information needed to identify your backup. Requests about online data can be sent to our privacy contact; deleting the app does not automatically delete any server-side data.
6. Community features and user contributions
If a Service allows names, messages, friend interactions, screenshots, or other user-provided content, you remain responsible for that content and confirm you have the rights needed to share it. You grant us a non-exclusive, worldwide, royalty-free license to host, display, process, and transmit that content only as reasonably necessary to operate, secure, and improve the applicable feature, subject to our Privacy Policy.
Do not submit unlawful, infringing, threatening, hateful, sexually exploitative, deceptive, or otherwise harmful content; impersonate others; harass users; or attempt to exploit the Service. We may remove content or limit access when reasonably necessary to enforce these rules or comply with law.
7. Intellectual property
Midknight Studio Labs and its licensors retain all rights in the Services and original creative works, including Catmint Cove, Side A, our mascots, graphics, interfaces, branding, text, software, and other materials, except third-party content identified as belonging to others. No rights are granted beyond the limited permission to use the Services. Third-party trademarks, music, platform names, and other content remain the property of their respective owners. Using a third-party integration does not imply sponsorship or endorsement.
8. Feedback and suggestions
You may voluntarily send suggestions, reviews, or bug reports. You permit us to use your feedback to evaluate and improve our projects without an obligation to compensate you, but this does not transfer ownership of your underlying copyrighted works or override applicable privacy rights.
9. Third-party platforms, services, and links
Our Services may depend on or link to Apple, Google, Apple Music, compatible media apps, RevenueCat, Supabase, Cloudflare, Blogger, Ko-fi, Amazon, or other providers. Third parties operate under their own terms and privacy policies. We are not responsible for third-party outages, content, charges, or policy changes, except where the law makes us responsible. You must follow applicable third-party terms when using connected features.
10. Updates, availability, and discontinuation
We may release bug fixes, security updates, new features, or changes to existing features. Device requirements and platform compatibility may evolve. We cannot promise continuous operation, permanent online services, or indefinite support for every operating-system version. If we materially change or discontinue a paid feature, we will handle any legally required notice, refund, or other remedy.
11. Privacy and permissions
Our Privacy Policy explains information handling for the website and our apps, including optional online features, purchase validation, analytics choices, and permissions. You can manage certain app permissions in your device settings. Please review the Privacy Policy alongside these Terms.
12. Disclaimers
We develop our Services with care, but software may contain errors, interruptions, or compatibility issues. To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis, without additional warranties of uninterrupted availability, error-free operation, fitness for a particular purpose, or compatibility with every device or third-party service. Nothing in these Terms excludes warranties or remedies that cannot legally be excluded.
13. Limitation of liability
To the fullest extent permitted by applicable law, Midknight Studio Labs will not be liable for indirect, incidental, special, consequential, or punitive losses, or loss of data, profits, or business opportunities arising from the Services. Where liability may lawfully be limited, our aggregate liability for a claim will not exceed the amount you paid to us for the affected Service during the 12 months before the event giving rise to the claim, or the minimum amount required by applicable law, whichever is greater. This limitation does not apply where prohibited by law, including liability that cannot be excluded for fraud, wilful misconduct, personal injury, or mandatory consumer protections.
14. Suspension and termination
You may stop using our Services at any time and uninstall our apps. We may suspend or terminate access to an account or online feature for a material violation of these Terms, threats to security, misuse, or legal requirements, with notice where reasonably possible. Termination does not cancel any separate store-managed subscription; you must cancel it through the store. Sections that by their nature should survive termination, including ownership, disclaimers, and legally permitted liability limitations, will survive.
15. App Store and Google Play provisions
Apple App Store. For apps obtained through Apple's App Store, these Terms are between you and Midknight Studio Labs, not Apple. Unless we supply a separate custom end-user license agreement for a particular app, Apple's Standard Licensed Application End User License Agreement applies to that app's license, including its permitted device-use and Family Sharing rules. Midknight Studio Labs, not Apple, is responsible for the app, its maintenance and support, and addressing applicable product, intellectual-property, and consumer claims, subject to applicable law. Apple has no obligation to provide maintenance or support. To the extent required by Apple's terms, Apple and its subsidiaries are third-party beneficiaries of the applicable app license and may enforce it against you.
Google Play. For apps obtained through Google Play, your use, purchases, and refunds are also subject to Google's applicable Play terms and policies. Google does not assume responsibility for our development, support, or content merely because the app is distributed through Google Play.
You represent that your use complies with applicable export-control and sanctions laws and that you are not a prohibited or restricted party under applicable law.
16. Governing law and consumer rights
These Terms are governed by the laws of the Republic of the Philippines, excluding conflict-of-laws principles, except where mandatory laws of your country of residence apply. Nothing in these Terms removes rights or remedies you have under applicable consumer, privacy, or other non-waivable laws. Any dispute may be brought before a court or authority having jurisdiction under applicable law.
17. Changes to these Terms
We may revise these Terms to reflect new apps, features, legal requirements, or operational changes. The updated date at the top identifies the latest version. For material changes, we will provide additional notice where required by law. Your continued use after updated Terms take effect constitutes acceptance to the extent permitted by law; if you disagree, stop using the affected Services.
